3. User Obligations
When using our Service, you agree to:
• Provide accurate, current, and complete information about your business and employees
• Maintain the security of your account credentials and login information
• Notify us immediately of any unauthorized access or security breaches

• Pay all fees and charges in accordance with the agreed payment terms
4. Fees and Payment
Our pricing structure is transparent and based on the number of employees in your organization. Fees are charged monthly and may include:
• Base service fees as outlined in your service agreement
• Per-employee processing fees
• Additional fees for custom reports or specialized services
Payment is due within 7 days of invoice date unless otherwise agreed in writing. Late payments may incur interest charges at the maximum rate permitted by South African law.
5. Confidentiality and Data Protection
We take the confidentiality and security of your data seriously. We comply with the Protection of Personal Information Act (POPIA) and implement appropriate technical and organizational measures to protect your information.
All employee and business data provided to us will be treated as confidential and will not be disclosed to third parties except as required by law or with your explicit consent.
6. Liability and Indemnification
While we strive to provide accurate and timely payroll services, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service.
You agree to indemnify and hold Instinctive Payroll harmless from any claims, damages, or expenses arising from your breach of these Terms or misuse of the Service.
7. Term and Termination
Either party may terminate the service agreement with 30 days' written notice. Upon termination:
• All outstanding fees must be paid in fullWe will provide all necessary payroll data and documentation for transition
• Access to our systems will be revoked
• Confidentiality obligations will continue to apply
8. Intellectual Property
The Service and its original content, features, and functionality are owned by Instinctive Payroll and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of South Africa.
10. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any material changes by posting the new Terms on this page and updating the "Effective Date" at the top.
